Terms and conditions


1. Incoterm and delivery

These terms and conditions are governed by the EXW (Ex Works) Incoterm.

The goods will be made available to the buyer at the seller's premises, and the buyer is responsible for arranging and paying for transportation.

However, the seller will load the goods onto the transportation provided by the buyer, without assuming any additional liability arising from such operation. 

2. Packaging

The goods will be supplied without packaging.

3. Condition of the Equipment

The equipment being sold is supplied 'as-is' (in its current condition), without having been reconditioned or subjected to additional inspections.

The seller makes no warranties of any kind, express or implied, including, without limitation, warranties of operation, performance, merchantability, or fitness for a particular purpose.

The buyer declares that they have had the opportunity to inspect the equipment or expressly waives such inspection, accepting the condition of the equipment at the time of sale.

4. Location of the Goods

The sale is conducted on a 'where is' basis (at its current location):

5. Disclamer of Liability

The seller shall not be liable, under any circumstances, for indirect, incidental, or consequential damage arising from the supply, handling, installation, or used of the equipment.

By way of the example, but not limited to, the following are excluded:

  • Loss of production.
  • Loss of profits.
  • Financial or capital costs.
  • Plant or operational downtime
  • Damage or malfunctions to the supplied equipment or other equipment.

This exclusion shall apply regardless of wether such damages occur during or after delivery.

Likewise, the following are expressly excluded from the scope of the supply:

  • Costs arising from Safety Plans or Studies.
  • Any work, service, or modification not included in the initial offer

Any change to scope must be the subject of a new financial proposal.

6. Payment Terms

Payment must be made in full prior to the loading of the goods.

The goods will not be released or loaded until payment has been confirmed

7. Pickup Period

Once payment has been confirmed, the buyer will have a maximum of three (3) weeks to pick up the merchandise.

After this period has elapsed, the seller reserves the right to charge a storage fee of 10€ per calendar day until the goods are actually picked up.

8. Acceptance

Placing an order implies the buyer's full acceptance of these terms and conditions.
